These Terms of Service ("Terms") govern your access to and use of Quotera ("the Service"), operated by Quotera ("we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use Quotera.

1. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use Quotera. By using the Service you represent that you meet these requirements. The Service is intended for use by individuals operating a trade business in Australia.

You retain ownership of all content you create, upload, or store in Quotera (such as quotes, invoices, client details, and business information). By using the Service, you grant us a limited licence to store and process that content solely for the purpose of delivering the Service to you.

You are solely responsible for the accuracy and legality of the content you enter, including any quotes or invoices you generate and send to clients.

5. Acceptable Use

You agree to use Quotera only for lawful business purposes. You must not use the Service to generate quotes or invoices for goods or services that are illegal, harmful, or deceptive. We reserve the right to remove content or suspend accounts that violate this policy.

6. Intellectual Property

All intellectual property rights in the Quotera platform — including its design, software, trademarks, and content — are owned by or licensed to us. Nothing in these Terms transfers any intellectual property rights to you. You must not use our branding or marks without prior written consent.

7. Availability and Changes

We aim to keep Quotera available 24/7 but do not guarantee uninterrupted access. We may update, modify, or discontinue features of the Service at any time without notice. We will endeavour to notify users of significant changes where practicable.

8. Fees and Billing

Quotera is currently in early access and is provided free of charge. We reserve the right to introduce paid plans in the future. If we do, we will give you reasonable advance notice and the opportunity to review and accept updated Terms before any charges apply.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free or that any quotes generated are legally compliant for your specific circumstances. You should seek independent legal or financial advice where appropriate.

10. Limitation of Liability

To the fullest extent permitted by law, Quotera and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising out of these Terms shall not exceed the amount you have paid us in the 12 months prior to the claim (or AU$100 if you have paid nothing).

11. Indemnification

You agree to indemnify and hold harmless Quotera and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Governing Law

These Terms are governed by the laws of New South Wales, Australia. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by updating the "Last updated" date and, where appropriate, by sending an email to your registered address. Continued use of the Service after the updated Terms are posted constitutes your acceptance.
